Now, in a new change of events, Paramount has made an unexpected attack on Warner Bros.

Paramount Skydance takes Netflix–WBD fight to court

On January 12, Paramount Skydance escalated its takeover attempt by suing Warner Bros. Discovery in Delaware Chancery Court. The filing directly targets the company’s $82.7 billion merger agreement with Netflix, marking a shift from bidding to litigation, according to Reuters.

The lawsuit seeks to invalidate the Netflix transaction by compelling disclosure of financial data provided to the Warner Bros. Discovery board. Paramount Skydance argued that shareholders approved the deal without access to valuation inputs that materially influenced the outcome.

Central to the complaint is asset valuation methodology, as per details revealed by Reuters. Paramount Skydance demanded explanations for how Warner Bros. Discovery priced its studio and streaming assets sold to Netflix, while separately valuing the spun-off Discovery Global cable networks.

The complaint also revisits board judgment. Paramount Skydance seeks records explaining why its higher $30-per-share cash proposal received risk discounts, despite offering certainty that Netflix’s complex asset acquisition structure does not replicate.

Together, these legal and governance actions broaden the contest beyond valuation into corporate control. The outcome will determine whether the Netflix agreement proceeds or whether Warner Bros. Discovery must reopen its strategic review under shareholder pressure.
